These Terms of Use for Parents and Guardians (the “Parent Terms”) apply to your use of the online tutor referral platform (the “Platform”) operated by Scintillant Ventures Ltd. (“Scintillant”) under the name Classroom Studio. In these Parent Terms, “you” means the parent, guardian, or other adult who searches for, books, or pays for tutoring services through the Platform (a “Parent”). You accept these Parent Terms the first time you book a session through the Platform, and you will be asked to accept them again before your next booking whenever they have been amended since you last accepted them. Scintillant keeps a record of each version you accept. The Classroom Studio Terms of Service (the “Terms of Service”) and the Scintillant Privacy Policy (the “Privacy Policy”), each available on the Platform, also apply. If these documents conflict, the following order of priority applies for tutoring bookings: (i) these Parent Terms; (ii) the Cancellation Terms described in section 6; (iii) the Terms of Service; and (iv) the Privacy Policy.
2. Fees.
Scintillant does not charge you any fee for searching for a Tutor, retrieving a referral slip, or making a booking. You pay only the Tutor’s fee for the tutoring session, plus any applicable taxes. The total price, in Canadian dollars and including any applicable taxes, is shown before you confirm a booking. Scintillant receives a platform fee from each Tutor, which is deducted from the Tutor’s fee and does not increase the price you pay.
3. Your Parent Account.
You search for, book, and pay for Tutors through your parent account. To complete a booking, you will be asked to provide limited information such as contact details and payment information so that the booking can be processed and confirmed with the Tutor. That information is collected, used, and disclosed in accordance with the Privacy Policy. About your child, Scintillant holds only the limited record described in the Privacy Policy (an internal identifier, a system-generated nickname, and a colour), together with the subject of each booking and any referral code you choose to use. Do not enter your child’s name, health information, diagnosis, or similar details in messages or booking requests. If you wish to share such details, you may do so directly with the Tutor at your discretion. If the Platform allows you to book a session without signing in, you manage that booking through the link sent to your email address, and these Parent Terms apply to that booking.
4. Other Services for Parents.
- CS Genie, Scintillant’s mathematics problem and worksheet generator, is an optional paid plan that you may subscribe to through your parent account (“CS Genie”). A CS Genie plan is a separate purchase governed by the CS Genie Terms available on the Platform (the “CS Genie Terms”). Tutoring sessions are not part of a CS Genie plan.
- Where the feature is available, you may use your parent account to ask your child’s teacher for an update on the child’s grades in progress. You can make a request only if: (i) the teacher uses the Platform; (ii) the teacher uses CS Marker, the Platform’s gradebook; and (iii) the teacher has listed your email address as a parent email for the student. The teacher keeps that list on the teacher’s own device, and Scintillant does not receive it.
- When you make a request, the teacher decides whether to respond, selects the student, and sends one email to your verified email address showing the student’s marks and the curriculum covered so far. Grades are not displayed in your parent account, and Scintillant does not keep a copy of the grades after the email is sent. You may have only one request waiting at a time. As described in the Privacy Policy, CS Marker identifies students by random codes, and Scintillant does not store student names.
- Grades and comments are prepared by the teacher and the School, not by Scintillant. Scintillant does not verify them, and a grade update is not an official report card or transcript. Questions about a grade should be directed to the teacher or the School. If you share a grade update with a Tutor, you do so at your discretion.
- Scintillant may offer other services to parents through the Platform from time to time. A service that has its own terms will present them before you first use it, and those terms govern that service. These Parent Terms continue to govern tutoring bookings.
5. Referral Codes and Referral Slips.
- A referral code is generated by the student’s teacher at a School and is passed to you through the student. It may be used to retrieve a referral slip prepared by the teacher describing the student’s learning needs. Teachers are instructed not to include the student’s name or other unnecessary directly identifying information in the referral slip, but the referral slip may relate to an identifiable student when combined with other information.
- Referral slips are prepared by teachers at Schools, not by Scintillant, and Scintillant does not verify their accuracy or completeness.
- If you provide a referral code to a Tutor, you authorize that Tutor to access and use the associated referral slip only for the purpose of providing tutoring sessions you book with that Tutor. You may revoke that authorization at any time through your parent account or by contacting Scintillant. Tutors are required to stop accessing the referral slip when the authorization is revoked or the tutoring engagement ends, and not to retain copies except as required by law.
6. Bookings and Payment.
- You request a session through the Platform and pay nothing at that point. If the Tutor approves your request for a paid session, you will be emailed a link to a secure payment page run by Scintillant’s payment processor. If you do not pay within about 48 hours after the Tutor’s approval, the booking is cancelled automatically and nothing is charged. A paid booking is confirmed only once payment is complete. A free session offered by a Tutor does not require payment.
- You pay by card only. Payments are processed by Stripe or another third-party payment processor, and Scintillant does not store your payment card details. Each payment is a one-off charge. Scintillant does not offer credits, vouchers, or promotional balances for tutoring sessions, and partner discount codes do not apply to them. If a payment fails, you are not charged and the booking is not confirmed.
- Scintillant is the merchant of record for tutoring payments, which means your card is charged by Scintillant. Scintillant, either directly or through its third-party payment processor, receives booking payments as the Tutor’s limited payment collection agent solely for the purpose of facilitating payment for booked tutoring sessions. Payment made through the Platform discharges your payment obligation to the Tutor to the extent of the amount successfully paid, subject to any chargeback, reversal, refund, or failed payment.
- Cancellations and refunds are governed by this section 6 and the cancellation terms published on the Platform (the “Cancellation Terms”). Before you cancel a paid booking or a booking awaiting payment, you will be asked to accept the current Cancellation Terms, and Scintillant records the version you accepted, the date and time, and the account or email address used. Tutors do not set their own cancellation or refund terms.
- You may cancel a booking at any time before the scheduled start of the session and receive a full refund. To reschedule, cancel the booking and make a new one.
- Once the scheduled start time has passed, there is no automatic refund. If something went wrong, such as the Tutor not attending or the session not being provided as booked, you may report a problem through the Platform within 7 days after the scheduled session. Scintillant will review the report, may ask you and the Tutor for information, and will decide, acting reasonably, whether to give a full refund, a partial refund, or no refund. Scintillant will tell you the outcome by email.
- If a Tutor rejects a booking you have paid for, or Scintillant cancels a booking (for example, because a Tutor’s account is suspended or for safety reasons), you will receive a full refund.
- Refunds are made only to the card used for the payment, for the full price you paid, within 15 days after the cancellation or decision. Scintillant does not give refunds as credit, as cash, or to a different card, and will email you when a refund is made. Nothing in these Parent Terms limits any right you have under applicable law to cancel a booking or to request a chargeback from your card issuer.
- If you have a concern about a charge, please contact Scintillant first, as most issues can be resolved through a refund. If you dispute a charge with your card issuer, the booking is frozen while the dispute is open, and no refund can be made through the Platform during that time. Scintillant may give the card issuer the booking history, the payment and refund records, and the Cancellation Terms you accepted. Scintillant may suspend your parent account where it reasonably believes a dispute is fraudulent or an abuse of the cancellation process.
- Scintillant deletes your email address, any booking notes, and the link between a booking and your child 90 days after the session date. Scintillant keeps the booking record itself, including amounts, payment history, and your acceptance of the Cancellation Terms, as described in the Privacy Policy.
7. Your Responsibilities.
You acknowledge and agree that:
- you are responsible for selecting a Tutor, and for satisfying yourself as to the Tutor’s qualifications, credentials, criminal record check status, experience, and suitability for the student;
- you are responsible for deciding whether, where, and how a tutoring session takes place, including whether the session occurs online or in person, whether a parent, guardian, or other responsible adult should be present or nearby, and any other supervision, safety, or communication arrangements you consider appropriate. Tutors are not permitted to record tutoring sessions. If you or the student choose to record a session for the student’s own study, that recording is your responsibility, and you should report any recording made by a Tutor to Scintillant under section 10;
- if the student is a minor, you are responsible for supervision and for any consent required in respect of the student; and
- you have authority to make the booking on behalf of the student and, if you provide or authorize access to information about a student, including by providing a referral code to a Tutor, you have all authority and consent necessary to do so.
8. No Vetting or Endorsement by Scintillant.
- Scintillant does not vet, screen, interview, background check, verify, endorse, or recommend any Tutor.
- Where a Tutor is shown as recommended by, connected to, or associated with a School, that indication means only that the School has included the Tutor on its own list or otherwise identified the Tutor through the Platform. It is not a recommendation, endorsement, vetting, approval, warranty, or representation by Scintillant. The School sets its own criteria for that list, and Scintillant does not verify those criteria, whether the School has applied them, or anything about the Tutor.
- Any recommendation made to you by a teacher or other school staff member outside the Platform is not made by, and is not the responsibility of, Scintillant.
- Scintillant does not verify the accuracy, completeness, currency, or continued validity of any Tutor profile, credential, rate, availability, criminal record check status, school connection, or school recommendation displayed on the Platform. Criminal record check status and credentials shown on a Tutor profile are self-reported by the Tutor and have not been verified by Scintillant.
9. Relationship with the Tutor.
Tutors are independent contractors and are not employees or agents of Scintillant. Scintillant does not control, direct, or supervise tutoring sessions or safety arrangements, is not obliged to monitor communications between you and a Tutor, and does not guarantee the quality of any session, the conduct of any Tutor, or any educational outcome. Any dispute regarding tutoring services is between you and the Tutor, although Scintillant may, in its discretion, assist in resolving a dispute without assuming responsibility for it.
10. Complaints and Incidents.
You may report concerns about a Tutor, booking, referral slip, or tutoring session to Scintillant through the contact method made available on the Platform. Scintillant may, but is not obliged to, review or investigate any complaint or incident. Scintillant may, in its discretion, cancel or suspend a booking, restrict access to the Platform, remove or disable a Tutor profile, withhold payment to a Tutor, refund payments, notify a School, or take other steps it considers appropriate or legally required. If Scintillant cancels a booking for safety reasons, you will receive a full refund for that booking.
12. Acceptable Use.
You must provide accurate information, use the Platform only for lawful purposes, and not misuse referral codes, attempt to gain unauthorized access to the Platform, or use the Platform to harass or harm any person.
13. No Emergency or Specialized Support Services.
The Platform and any tutoring services booked through it are not emergency, crisis, medical, psychological, counselling, therapeutic, diagnostic, or similar support services. You should not use the Platform where the student requires urgent, specialized, or professional support that is outside the scope of ordinary tutoring services. If a child is in immediate danger, call 911. If you believe a child may be at risk of harm, contact the Ministry of Children and Family Development or your local child protection authority. Scintillant may report concerns to the appropriate authorities and share information with them as permitted or required by law.
14. Disclaimer.
Subject to any warranties or conditions that cannot be excluded under applicable law, the Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Scintillant does not warrant uninterrupted or error-free operation of the Platform, the accuracy or completeness of Tutor profiles or referral slips, or the availability of any Tutor.
15. Limitation of Liability.
- To the maximum extent permitted by law, Scintillant is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
- To the maximum extent permitted by law, Scintillant’s aggregate liability arising out of or relating to the Platform or a booking is limited to the greater of (i) the total amount you paid through the Platform for the bookings giving rise to the claim, and (ii) $100.
- Nothing in these Parent Terms excludes or limits any liability, right, or remedy that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence, and your rights under the Business Practices and Consumer Protection Act (British Columbia) or the consumer protection law of the province or territory where you live.
16. Indemnity.
You will indemnify and hold harmless Scintillant and its directors, officers, employees, agents, affiliates, successors, and assigns from and against any claims, losses, damages, liabilities, and reasonable legal fees and expenses arising out of or relating to your breach of these Parent Terms, your misuse of the Platform or of any referral code, your unauthorized disclosure of a referral code, or any information you submit or authorize to be submitted through the Platform. This section applies only to claims by third parties, does not apply to the extent a claim is caused by Scintillant’s own breach or negligence, and does not apply where consumer protection law prohibits it.
17. Privacy.
Scintillant collects, uses, and discloses personal information in accordance with the Privacy Policy, as amended from time to time.
19. Amendments.
Scintillant may amend these Parent Terms from time to time. Scintillant will notify you of any material amendment by email or in-app notice at least 30 days and not more than 60 days before it takes effect, and will post the amended version on the Platform. Amendments do not affect bookings already made. The version of the Parent Terms in effect at the time you make a booking applies to that booking.
20. General.
- These Parent Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, and the parties attorn to the non-exclusive jurisdiction of the courts and tribunals of British Columbia, including the Civil Resolution Tribunal for claims within its jurisdiction. If you are a consumer, nothing in this section prevents you from relying on the consumer protection law of the province or territory where you live or from bringing a claim in the courts or tribunals of that province or territory.
- These Parent Terms, together with the Terms of Service, the Privacy Policy, the Cancellation Terms, and, where applicable, the CS Genie Terms, constitute the entire agreement between you and Scintillant in respect of your use of the Platform. Any conflict among these documents is resolved in the order of priority set out at the beginning of these Parent Terms.
- If any provision is held to be invalid or unenforceable, it is severed and the remaining provisions continue in full force.
- Scintillant may assign these Parent Terms, in whole or in part, without your consent to an affiliate or to a successor to all or substantially all of the business of the Platform, on notice to you, provided that the assignment does not reduce your rights under these Parent Terms.
21. Acceptance.
By checking the box to accept these Parent Terms, which are linked at the point of acceptance, you confirm that you are the age of majority in your jurisdiction, have legal capacity to accept these Parent Terms, are the parent or legal guardian of the student or are otherwise entitled to arrange tutoring for the student, and have read, understood, and agree to be bound by these Parent Terms. Before you confirm a booking, you will be able to review the booking details, correct any errors, and accept or decline the booking. Your electronic acceptance has the same legal effect as a signed agreement.
23. Electronic Communications.
You consent to receive notices, booking confirmations, and other communications from Scintillant electronically, by email to the address in your parent account or through the Platform.
24. Termination.
You may close your parent account at any time through the Platform or by contacting Scintillant. Scintillant may close your account on notice for breach of these Parent Terms or where section 18 applies. Closing your account does not affect bookings already paid for, which will be completed or refunded in accordance with section 6.
25. Survival.
Sections 14 (Disclaimer), 15 (Limitation of Liability), 16 (Indemnity), and 20 (General), and any other provisions that by their nature are intended to survive, survive the closure of your account or the end of these Parent Terms.
26. Force Majeure.
Scintillant is not liable for any failure or delay in operating the Platform caused by events beyond its reasonable control, including outages of third-party services, natural disasters, or government action. Where a booking cannot proceed as a result, you will be entitled to a full refund for that booking.
27. Eligibility.
The Platform is intended for arranging tutoring for students aged 6 to 19 residing in Canada, outside the Province of Quebec. Bookings are not currently available for students residing in Quebec.
