Scintillant Ventures Ltd. ("Scintillant") provides an online teacher workflow management platform, "Classroom Studio" (the "Platform"). The Platform may be offered through a website and/or a mobile application. The Platform allows its users (the "Users") to perform various functions which may include uploading content (text, image, video, and audio), sharing content with other Users, and communicating with other Users.
By clicking on the "Agree" button and by using the Platform, you are indicating your acceptance to these terms of service (the "Terms of Service"). If you do not agree to the Terms of Service, do not click the "Agree" button and do not access or use the Platform.
## 1.Changes to Terms of Service
Scintillant may make changes to the Terms of Service from time to time in its sole discretion. The most recent version of these Terms of Service will be posted on the User's account in [https://classroom.studio](https://classroom.studio?hsLang=en), and you should regularly check the website for updates. If you continue to use the Platform after the Terms of Service change you will be deemed to have agreed to the new Terms of Service.
## 2.Eligibility
You must be at least 19 years old to use the Platform.
## 3.Users include members of organizations and administrators
If an individual uses the Platform on behalf of an organization (including schools and school districts) then both the individual and the organization are considered to be "Users" under these Terms of Service.
## 4.Interactions with other Users
Scintillant is not responsible for the conduct of Users of the Platform either on or off the Platform. You are solely responsible for your interaction with other Users. You agree not to provide any confidential information, including financial information, credit card numbers, or bank account numbers, to other Users.
**No background checks.** You acknowledge and agree that Scintillant does not conduct criminal records checks of its Users or otherwise inquire into the background of its Users. Scintillant makes no representations and warranties regarding its Users.
## 5.Platform account
To use the Platform, you must create an account (an "Account"). You must not use another User's Account, share an account with another User, or maintain more than one Account. You are responsible for maintaining the security of your Account's password.
## 6.Termination of account
You acknowledge and agree that Scintillant may restrict your use of the Platform, ban you from the Platform and/or terminate your Account at any time in its sole discretion.
## 7.Misuse of the Platform
You may use the Platform only for its intended use. You must not:
- copy, modify, transmit, create any derivative works from, make use of, or reproduce in any way any copyrighted material, images, trademarks, trade names, service marks, or other intellectual property, content, or proprietary information accessible through the Platform, including that of any third party;
- express or imply that any statements you make are endorsed by Scintillant;
- use any robot, bot, spider, crawler, scraper, site search/retrieval application, proxy or other manual or automatic device, method or process to access, retrieve, index, data mine, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or its contents;
- use the Platform in any way that could interfere with, disrupt, or negatively affect the Platform or the servers or networks connected to the Platform;
- use the Platform in contravention of any applicable laws or regulations, including laws and regulations regarding personal information and privacy;
- upload viruses or other malicious code or otherwise compromise the security of the Platform;
- frame or mirror any part of the Platform;
- modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile, or otherwise disassemble any portion of the Platform;
- use or develop any third-party applications that interact with the Platform;
- bully, intimidate, stalk, assault, harass, mistreat, or defame any person;
- use the Platform to transmit or post any content which infringes the intellectual property rights of any third party; or
- encourage or promote any activity that violates these Terms of Service.
## 8.Updates
You acknowledge and agree that Scintillant may modify and upgrade the Platform from time to time without your notice or consent.
## 9.Ownership of intellectual property
You acknowledge and agree that these Terms of Service do not grant you any intellectual property rights in the Platform. You acknowledge and agree that Scintillant is the sole owner of the Platform and all intellectual property rights therein.
## 10.No warranty
You acknowledge and agree that the Platform is provided on an "as-is" basis and that Scintillant provides no warranties, either express or implied, with respect to the Platform. Scintillant makes no warranty that the Platform will be uninterrupted, free of viruses or other harmful code, timely, secure, or error-free.
## 11.Third-party networks
You acknowledge and agree that the Platform is provided over third-party networks (e.g. internet, cellular networks, and satellite networks) and that the Platform may not be accessible if the network over which it is being provided is down. Furthermore, you acknowledge and agree that some features of the Platform may be unavailable, limited, or function differently depending on which type of network you are using to access the Platform.
## 12.Personal information
To use the Platform, you may be required to provide your name, email address, location, and other information requested by Scintillant from time to time (collectively, the "Personal Information"). Personal Information may be stored with Scintillant's third-party cloud storage service provider. Personal Information will be used only to facilitate the functionality of the Platform and not for any other purpose, including targeted advertisements.
## 13.Release & indemnity
**Release.** You hereby release Scintillant and its shareholders, directors, officers, employees, agents, subsidiaries, affiliates, successors, and assigns of all liability arising out of, relating to, or resulting from your use of the Platform. Without limiting the foregoing, you hereby release Scintillant from all liability resulting from the act, omission, or negligence of another User.
**Indemnity.** You hereby indemnify and hold harmless Scintillant, and its shareholders, directors, officers, employees, agents, subsidiaries, affiliates, successors, and assigns from any losses, damages, and expenses arising out of, relating to, or resulting from your use of the Platform.
## 14.General
These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia. These Terms of Service constitute the entire agreement between you and Scintillant relating to the Platform. If any provision of these Terms of Service is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms of Service will remain in force and effect. You may not transfer or assign your rights under these Terms of Service and any attempted assignment in violation of this section is void.
